Item 8.01.  Other Events.

On April 12, 2010, Spectrum Brands, Inc. (the “Spectrum Brands”) issued a press release concerning the end of the “go-shop” period under the terms of the Agreement and Plan of Merger, dated as of February 9, 2010, by and among Spectrum Brands Holdings, Inc. (“SB Holdings”), Battery Merger Corp., Grill Merger Corp., Spectrum Brands and Russell Hobbs, Inc. (“Russell Hobbs”), as amended from time to time.  A copy of the press release issued by Spectrum Brands is attached as Exhibit 99.1 hereto and incorporated herein by reference.

This communication is being made in respect of a proposed business combination involving Spectrum Brands and Russell Hobbs. Spectrum Brands Announces End of ‘Go-Shop’ Period; Russell Hobbs Transaction Remains on Track to Close in Summer 2010

ATLANTA--(BUSINESS WIRE)--April 12, 2010--Spectrum Brands, Inc. (NYSE: SPB) (the “Company”) announced today that the period during which the Company can solicit alternative proposals to its proposed combination with Russell Hobbs, Inc. has now expired. The Company continues to expect the Russell Hobbs transaction to be completed this summer, adding the Russell Hobbs’ portfolio of market-leading brands such as Black & Decker®, George Foreman®, LitterMaid®, Toastmaster® and others to the Spectrum Brands’ portfolio of products, creating a $3 billion global consumer products company.

As previously announced, the ”go-shop” period contemplated by Spectrum Brands’ Merger Agreement with Russell Hobbs dated February 9, 2010 was extended through April 9, 2010. Assisted by Barclays Capital, Inc. and consistent with the recommendation of the independent Directors of the Board that reviewed the Russell Hobbs transaction, the Company did not receive any alternative proposal during the go-shop period that the Company’s Board of Directors determined would, on its own or together with other alternative proposals, reasonably be expected to result in a superior proposal to the combination with Russell Hobbs.
